User Agreement	:	matexretail.com, hereinafter called "portal" provides access to its online marketplace www.matexretail.com to sole proprietors, partnerships, businesses and corporations, hereinafter called "User" wherever the terms applicable in this agreement, subject to the following terms and conditions. These Terms and Conditions apply to all users who register as Potential User in any format of trade, cash or barter. These Terms and Conditions of Trade for User apply to all Users using the system, regardless of the physical location of the individual or the corporate. Users represent and warrant that they are authorized and empowered to agree to this User Agreement on behalf of themselves and any entity that they purport to represent. By accessing, browsing, and or using this site, they acknowledge that they have read, understood, and agree to be bound by this User Agreement. The buyer is responsible for all trades carried out using his User ID and Password. USER The Services are available only to individuals or entities that can form legally binding contracts for a B2B business. The Company reserves the right to review and verify the information provided in your registration application and to reject or grant approval at its sole discretion. TERMS & CONDITIONS SELLING & BUYING Users accessing the Site as Sellers looking to sell their assets or goods through this website hereby agree that they are solely responsible for the accuracy, completeness and validity of all the information describing the assets listed for sale . Users affirm, represent and warrant that they will not offer for sale: Any goods that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; Any goods that may violate any prevailing local laws, statutes, ordinances or regulations including without limitation the laws and regulations governing export control, unfair competition, anti-discrimination or false advertising; Any content/goods that is defamatory, trade libelous, unlawfully threatening or unlawfully harassing, violating the private rights of individuals Any content/goods that is obscene, harmful to minors or child pornographic; Any content/goods that contain any viruses, Trojan horses, worms, time bombs, cancel bots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; Any content/goods that is materially false, misleading or inaccurate or improper or irrelevant Users accessing the Site as Buyers looking to buy assets or goods through this website hereby agree that They are solely responsible for checking the accuracy, completeness and validity of all the information described bu the User Selling the goods They will utilize the information provided in the site pertaining to the User Seller to verify about the Seller and take all efforts to ensure the veracity of the sale offer of the User Seller OTHER TERMS Where Users agree to transact with each other on barter, in exchange for each other's goods, they will be doing so on the basis of their own valuation and judgment of each other's goods matexretail.com takes no responsibility for the quality or quantity of products or the documentation details of Users Users agree to defend indemnity and hold harmless matexretail.com from any loss, damage, cost and expenses caused by the transaction In no event shall matexretail.com be liable for any loss for the transactions by business, revenues, profit, costs direct and incidental, consequential or punitive damages of any claim Users agree to have discussed all the related matter regarding transactions they may enter into with each other and have understood in full that matexretail.com has only facilitated contact with each other and has nothing to do any further especially with regards to quality, warranty, guarantees, delivery schedules, payments, rejections, transportation, legal laws applicable local laws and regulations to be followed from time to time etc. Since matexretail.com does not possess knowledge base of the commodities under transaction Users agree that the matter contained in the materials as a part or as a whole does not violate any applicable law. LICENSE GRANT AND RESTRICTIONS matexretail.com hereby grants Users a limited, non-exclusive, non-transferable, non-sub licensable, revocable license to use this site only for managing the purchase and/or sell for themselves or on behalf of their entity. The application of the United Nations Convention on the International Sale of Goods is hereby expressly excluded. Users agree to comply with all applicable export and import control laws and regulations in their use of this site or any parts thereof; and Users will defend, indemnify and hold harmless matexretail.com and its partners and suppliers from and against any violation of such laws or regulations by Users or any agents, officers, directors, or employees. This User Agreement represents the entire Agreement and supersedes any and all oral and written Agreements or understandings between the parties as to the subject matter herein. This User Agreement may be amended only in writing including and without limitation, printed or electronic means by matexretail.com.
